Terms of Service

These Terms of Service (“Terms”) govern your access to and use of all products and services provided by NuVista AI, including its SaaS delivery platform AIHouse and any consulting, modernization, or AI enablement services (collectively, the “Services”).
By using or subscribing to any NuVista AI Service, you agree to these Terms. If you do not agree, please do not use the Services.

NuVista AI is an AWS Advanced Consulting Partner that helps organizations modernize digital products, data platforms, and AI capabilities.
Our Services combine expert consulting with automation delivered through AIHouse, available instantly through AWS Marketplace or by direct engagement.

• “NuVista,” “we,” “us,” “our” – NuVista AI and its affiliates.
• “Client,” “you,” “your” – the individual or organization using or purchasing the Services.
• “AIHouse” – NuVista AI’s SaaS platform for on-demand consulting and project delivery.
• “Client Data” – any data, content, or materials you submit or process through the Services.
• “Deliverables” – work outputs or solutions produced during a project or milestone.
• “Order” – a NuVista quotation, agreement, or AWS Marketplace subscription.
• “Subscription Term” – the active period of your subscription or engagement.
• “Credits” – any promotional AWS credits that may be offered to eligible new customers.

NuVista AI provides:

• Consulting and engineering services for modernization, migration, and AI enablement on AWS.
• Delivery management and milestone tracking through the AIHouse platform.
• Optional start-through-AWS Marketplace engagements with simplified billing.

You may engage NuVista AI directly or through AIHouse. Specific scopes, fees, and deliverables are defined in your Order or project plan.

• License. During your Subscription Term, you receive a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes.
• Credentials. You are responsible for safeguarding account credentials and all activity under your accounts.
• Acceptable Use. You agree not to interfere with, reverse-engineer, or misuse the Services; not to upload malware or harmful content; and not to resell access without written consent.
• Suspension. NuVista AI may suspend access for security, non-payment, or misuse. Notice will be provided when possible.

Fees and payment terms are defined in your Order or AWS Marketplace subscription.
Unless stated otherwise, fees are exclusive of taxes and non-refundable.
Unpaid balances may result in suspension of access.

NuVista AI may provide promotional AWS credits to eligible new customers.
Credits are administered by AWS under its promotional-credit conditions and offset only eligible AWS usage.
Credits do not reduce payment obligations to NuVista AI.

NuVista AI will use commercially reasonable efforts to deliver milestones on schedule.
You will review each deliverable within five business days and either accept it or provide written feedback.
If no response is received, the deliverable is considered accepted.

You retain all ownership of your Client Data.
NuVista AI processes Client Data solely to deliver and improve the Services.
No AI Training on Client Data: NuVista AI does not use your Client Data to train general-purpose AI models without your written consent.
We may collect anonymized or aggregated telemetry to enhance reliability and performance.
NuVista AI maintains industry-standard administrative, technical, and physical safeguards and will promptly notify you of any confirmed unauthorized access to Client Data.

NuVista AI owns all intellectual property in its platforms, methodologies, and pre-existing materials.
Upon full payment, you receive a non-exclusive license to use Deliverables internally.
NuVista AI may reuse frameworks, templates, and know-how developed during service delivery.
Feedback you provide may be used freely to improve NuVista AI products and services.

AIHouse and other NuVista AI Services may integrate with third-party tools such as AWS services. Your use of third-party services is governed by their respective terms.

NuVista AI warrants that Services will be performed in a professional and workmanlike manner.
Except for this limited warranty, all Services and Deliverables are provided “as is” and “as available.”
No additional warranties, express or implied, are provided.

You agree to defend and indemnify NuVista AI against any claims or losses arising from your misuse of the Services, violation of law, or infringement of third-party rights.

NuVista AI’s total liability for any claim related to these Terms will not exceed the fees you paid during the twelve months preceding the claim.
NuVista AI is not responsible for indirect, incidental, or consequential damages, including loss of profits or data.

These Terms remain in effect for the Subscription Term and renewals.
Either party may terminate for a material breach not resolved within 30 days of notice or may elect not to renew with 30 days notice before renewal.
Upon termination, your access ends, unpaid fees become due, and, upon request within 30 days, NuVista AI will provide Client Data export before secure deletion.

Both parties agree to operate in good faith and comply with applicable industry, data-protection, and commercial standards.
NuVista AI follows AWS best-practice frameworks for governance, security, and sustainability.

NuVista AI may update these Terms to reflect service improvements or operational changes. You will be notified of material updates in advance, and continued use after the effective date constitutes acceptance.

NuVista AI may identify your company name and logo as a customer reference unless you opt out in writing. Any additional publicity requires mutual consent.

Each party will protect the other’s confidential information with reasonable care and use it only for purposes related to the Services.

Both parties will make reasonable efforts to resolve concerns informally and in good faith before pursuing other remedies.
These Terms are governed by principles of fair commercial practice rather than any specific governmental jurisdiction.

These Terms represent the entire understanding between you and NuVista AI.
If any provision is deemed invalid, the remainder remains in full effect.
